 Xerox Joins 'Electronic Industry Code of Conduct' Coalition |  |

| Xerox Corporation has joined the Electronic Industry Code of Conduct (EICC) coalition to deliver the benefits of a consistent code of conduct framework throughout the supply chain. The EICC code is a standards-based approach for monitoring suppliers' compliance across several areas of social responsibility, including labor, health, safety, and environmental activity. Xerox believes it is in compliance with all EICC guidelines; however, formal membership in the program provides the stake in the ground to ensure compliance by our key vendors that support the manufacturing of Xerox systems. In fact, Xerox's largest manufacturing partner, Flextronics, which manufactures about half of Xerox products, is already a member of EICC. The company's objective for the balance of 2006 is to design and implement a compliance process that measures suppliers' compliance of EICC guidelines. In 2007, the company expects to begin a third-party auditing program to ensure its key suppliers are in complete, measurable compliance with the Electronics Industry Code of Conduct.
